{"id":6571,"date":"2025-01-29T01:12:09","date_gmt":"2025-01-29T00:12:09","guid":{"rendered":"https:\/\/www.avocatshouda.com\/?p=6571"},"modified":"2026-05-20T18:32:48","modified_gmt":"2026-05-20T16:32:48","slug":"franchising-under-senegalese-law","status":"publish","type":"post","link":"https:\/\/www.avocatshouda.com\/en\/franchising-under-senegalese-law\/","title":{"rendered":"FRANCHISING UNDER SENEGALESE LAW"},"content":{"rendered":"\n<p class=\"wp-block-paragraph\"><strong>The franchising concept :<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>The doctrine defines franchising<\/strong> as a collaboration between the franchisor&#8217;s business, which has developed a profitable and reproducible concept, and the franchisees, who are legally independent natural or legal persons.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>The franchise concept is made up of three elements in particular:<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">&#8211; <strong>ownership or the right to use customer rallying signs<\/strong> ;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">&#8211;<strong> the use of experience and the development of know-how<\/strong> combined with technical, financial and commercial assistance for the duration of the contract; and<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">&#8211; i<strong>ndustrial production of a range of products and\/or services and\/or technologies.<br>The right to operate a franchise is given by the franchisor to the franchisee in exchange for direct or indirect compensation<\/strong>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Franchising can take several forms: <strong>production, distribution, service or industrial franchising<\/strong>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A franchise <strong>contract leaves the franchisor and franchisee legally and financially independent<\/strong>, although the franchisee is required to pay a fixed entry fee and royalties.<br>In French-speaking Africa, and Senegal in particular, franchising is a business model that has gained in popularity, presenting significant opportunities for national and regional economic development. Among the most popular sectors are fast food, retail and supermarkets, as well as services.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><br>Despite the growth of franchising in French-speaking Africa in recent years, it has to be said that a solid legislative framework is needed to protect the interests of the parties to the contract. Regional harmonisation could further facilitate and encourage the expansion of franchises, and proposals to update the Uniform Act on General Commercial Law argue in favour of incorporating this business model into the Uniform Act.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Key elements of the franchise contract in the silence of the law:<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Given that Senegalese legislation does not specifically govern franchise agreements<\/strong>, it will be up to the parties to select the provisions that will serve as a reference for franchise agreements that are intended to be duplicated for all franchisees.<br>Countries that regulate franchise agreements generally recommend preparing a pre-contractual information document that includes the following elements: a general presentation of the company and its history; a description and technical specifications of the products or services to be marketed; a presentation of the franchising model envisaged by the franchisor; an analysis of the market in relation to the target country; information on financial conditions; information on intellectual property rights; information on termination and renewal conditions; and a general description of the obligations and liability of the parties.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">As far as the contract itself is concerned, it will be the law of the parties.
