Article 82 of the Electricity Code, as published in the Official Gazette of the Republic of Senegal on 5 August 2021, provides for a number of suspensive and transitional conditions, in particular relating to the end of the period of exclusivity for Soci\u00e9t\u00e9 Nationale de l’Electricit\u00e9 du S\u00e9n\u00e9gal (SENELEC) as the sole purchaser. As a result, in addition to finalising the separation of SENELEC’s accounts within 12 months of 5 August 2021 and implementing the technical arrangements agreed with the State of Senegal to enable third party access to the network to become operational, the Senegalese legislator also enacted the functional separation of SENELEC through the creation of (a) a parent company (Holding) and (b) three subsidiaries focusing on its historical activities, namely the generation, transmission and distribution-sale
of electricity.<\/p>\n\n\n\n
A bill to reorganise SENELEC has been passed, the purpose of which will be to specify the terms and conditions for the creation, organisation and operation of the holding company and the subsidiaries in charge of the historical activities of producing, transporting and distributing electrical energy and aggregating natural gas.<\/p>\n\n\n\n
It should be noted that SENELEC must set up the 3 subsidiaries by the end of February at the latest, without making any partial contribution of assets, while the partial contribution of assets by business line will be effective by the end of February 2025 at the latest.<\/p>\n\n\n\n
SENELEC Holding will continue to hold the concession and licence agreement and at the end of SENELEC’s exclusivity period, eligible customers, independent retailers and the distribution system operator will be able to purchase electricity from IPPs.<\/p>\n\n\n\n
